1. Agreement
These Terms of Service (“Terms”) are a binding agreement between you and Taxly (“Taxly”, “we”, “us”, “our”) governing your access to and use of the Taxly website, applications, and related services (the “Service”).
By creating an account, paying for a service, checking a consent box, or using the Service, you agree to these Terms, our Privacy Policy, and our Refund & Cancellation Policy. If you do not agree, do not use the Service.
2. What Taxly provides
Taxly is an Indian income tax return preparation and filing assistance platform. Depending on your plan and selections, the Service may include:
- Guided data entry for salary, deductions, house property, capital gains, and other ITR schedules;
- Old vs New tax regime comparison and tax computation reports;
- Form 16 upload and Income Tax portal prefill (where you authorize it);
- Generation of government-format ITR JSON files;
- Assisted e-filing through the official Income Tax e-filing portal when you explicitly request filing;
- Optional paid consultations with listed Chartered Accountants (“CAs”).
Taxly files returns through authorized e-filing channels as a registered e-Return Intermediary (ERI). Filing is performed on your authorization using credentials and data you provide.
Taxly is not the Income Tax Department, CBDT, or any government authority. We do not guarantee assessment outcomes, refunds from the government, or acceptance of every return by the portal.
3. Eligibility
You may use the Service only if:
- You are at least 18 years old and competent to contract under Indian law;
- You are filing or assisting with your own return, or you have lawful authority to act for the taxpayer whose data you enter;
- Your use complies with applicable tax, data protection, and portal rules.
4. Accounts and security
You are responsible for:
- Maintaining the confidentiality of your Taxly sign-in (mobile OTP, Google account, or session);
- All activity under your account;
- Providing accurate contact information.
Notify us promptly at help@taxly.co.in if you suspect unauthorized access.
5. Your responsibilities
You remain solely responsible for:
- The accuracy, completeness, and legality of all information entered or imported;
- Reviewing computation results, regime selection, and JSON/export content before submission;
- Disclosing all taxable income and eligible deductions correctly under applicable law;
- Verifying acknowledgement numbers, filing status, and notices on the Income Tax portal;
- Keeping your Income Tax portal credentials secure and complying with portal terms.
When you provide your Income Tax portal password or authorize filing, you instruct Taxly to access the portal on your behalf for the specific action you request (prefill, password reset assistance, or submission). See our Privacy Policy for how credentials are handled.
6. Fees and payment
Certain features require a one-time fee (for example, ITR self-filing by form type, or CA consultations). Prices are shown at checkout and processed through Razorpay. By paying, you authorize us and our payment processor to charge the displayed amount (including applicable taxes where shown).
Filing fees are generally charged once per taxpayer profile per open financial year. After a successful filing payment, certain fields (such as PAN) may be locked and prefill re-import may be restricted as described in the product flow.
Refunds and cancellations are governed by our Refund & Cancellation Policy.
7. Filing authorization and acknowledgements
When you click “File your ITR” (or equivalent) and provide portal credentials:
- You confirm that you have reviewed the return data and authorize submission to the Income Tax portal;
- You understand that submission is irreversible except through statutory revision/amendment routes on the portal;
- You accept that portal outages, OTP delays, validation errors, or third-party automation failures may occur;
- You will verify the final acknowledgement on the official portal or through the acknowledgement we display when available.
Some complex return types (for example ITR-2 or ITR-3) may be restricted from self-filing on Taxly and routed to CA review. Product messages at checkout or on the tax result page apply.
8. CA marketplace
CAs listed on Taxly are independent professionals, not employees or agents of Taxly. Consultation fees, availability, and advice are provided by the CA you select. Taxly facilitates booking and payment but does not guarantee a particular tax outcome from CA advice.
Disputes about CA services should first be raised with the CA and with us at help@taxly.co.in.
9. Intellectual property
Taxly’s software, design, branding, and content (excluding your data and government-published tax schemas) are owned by Taxly or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Service for personal or internal business tax filing purposes. You may not copy, reverse engineer, resell, or scrape the Service except as permitted by law.
You retain ownership of data you enter. You grant us a license to process that data to provide the Service.
10. Prohibited conduct
You must not:
- Use the Service for fraud, identity theft, or filing returns without authorization;
- Upload malware or attempt to breach our or third-party systems;
- Misrepresent your identity, PAN, or tax status;
- Abuse support channels, OTP systems, or payment flows;
- Use automated tools to overload the Service except through features we provide.
11. Disclaimers
To the maximum extent permitted by law:
- The Service is provided on an “as is” and “as available” basis;
- We do not warrant uninterrupted, error-free, or portal-compatible operation at all times;
- Tax laws change frequently; we update the Service on a best-effort basis but do not guarantee real-time alignment with every notification;
- Taxly is not a substitute for professional advice where your facts are complex (international tax, litigation, search/seizure, etc.);
- Government refund amounts, processing times, and scrutiny decisions are outside our control.
12. Limitation of liability
To the fullest extent permitted by applicable law, Taxly and its directors, employees, CAs-as-platform-users, and suppliers shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service.
Our aggregate liability for any claim relating to the Service shall not exceed the greater of (a) the amount you paid to Taxly for the specific filing or consultation giving rise to the claim in the three (3) months before the event, or (b) ₹5,000.
Nothing in these Terms excludes liability that cannot be excluded under Indian law, including applicable consumer protection or data protection remedies.
13. Indemnity
You agree to indemnify and hold harmless Taxly from claims, penalties, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, inaccurate data you supplied, unauthorized use of another person’s identity or PAN, or violation of applicable law — except to the extent caused by our gross negligence or wilful misconduct.
14. Suspension and termination
We may suspend or terminate access if you violate these Terms, pose a security risk, or as required by law. You may stop using the Service at any time. Provisions that by nature should survive (payment obligations, disclaimers, liability limits, indemnity, governing law) will survive termination.
15. Changes to these Terms
We may update these Terms. The effective date at the top will change. Material updates may be notified via the Service or email. Continued use after the effective date constitutes acceptance where permitted by law.
16. Governing law and disputes
These Terms are governed by the laws of India. Courts at the place of our registered office in India shall have jurisdiction, subject to mandatory consumer forum and other statutory remedies available to you.
